- "You," "Your," or "Client" refers to any individual or entity accessing our website or engaging our services.
- "Services" refers to arbitration representation, mediation facilitation, and related dispute resolution advisory services provided by Resolvyn.

- "Engagement Agreement" refers to the written agreement between Resolvyn and a client specifying the scope of services and fee arrangements.
2. Acceptance of Terms
2.1 Agreement Formation
By using our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any provision, you should not access the website or engage our services.
2.2 Capacity and Authority
You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements. If you are acting on behalf of an organization, you represent that you have authority to bind that organization to these terms.
2.3 Professional Engagement
Engagement of our dispute resolution services requires execution of a formal Engagement Agreement that supplements these general Terms and Conditions. The Engagement Agreement will specify the scope of services, fee arrangements, and any case-specific provisions.
3. Services Description
3.1 Scope of Services
Resolvyn provides the following professional services:
- Representation in domestic arbitration proceedings under Thai Arbitration Act B.E. 2545
- Advisory and representation in international arbitration under institutional rules
- Mediation facilitation for commercial and contractual disputes
- Related advisory services concerning dispute resolution strategy and procedures
3.2 Service Availability
Our services are available to clients with disputes suitable for arbitration or mediation resolution. We reserve the right to decline representation where conflicts of interest exist, capacity limitations prevent adequate service, or other professional considerations require declination.
3.3 Geographic Limitations
Our practice focuses on arbitration and mediation matters with Thailand connections or involving Thai parties. We coordinate with local counsel in other jurisdictions as needed for multi-jurisdictional disputes.
4. Client Responsibilities
4.1 Information Provision
Clients are responsible for:
- Providing complete and accurate information relevant to the dispute
- Disclosing all material facts affecting the case assessment
- Producing requested documents and evidence in timely manner
- Facilitating witness interviews and expert consultations as needed
- Responding promptly to communications regarding case developments
4.2 Cooperation and Instructions
Clients must provide clear instructions on procedural decisions and settlement authority. Significant strategic decisions including settlement acceptance, arbitrator challenges, or appeal considerations require client approval.
4.3 Prohibited Conduct
Clients must not:
- Provide false information or withhold material facts
- Request services for unlawful purposes or fraudulent claims
- Interfere with our professional obligations or ethical duties
- Use our services to harass, intimidate, or improperly pressure opposing parties
5. Fees and Payment
5.1 Fee Structure
Our fees are determined based on service complexity, matter urgency, and expected time investment. Fee arrangements are specified in the Engagement Agreement and may include:
- Fixed fees for defined scope matters
- Hourly rates for ongoing representation
- Success fees where permitted by professional rules
- Retainer arrangements for anticipated services
5.2 Payment Terms
Payment is due according to the schedule specified in the Engagement Agreement. Unless otherwise agreed, invoices are payable within 14 days of issuance. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by Thai law, whichever is lower.
5.3 Expenses and Disbursements
Clients are responsible for reimbursing reasonable expenses incurred in providing services, including arbitration filing fees, courier charges, travel expenses, expert witness fees, and translation costs. Major anticipated expenses will be discussed and approved in advance.
5.4 Currency
All fees and expenses are quoted and payable in Thai Baht unless otherwise specified in the Engagement Agreement.
6. Intellectual Property
6.1 Website Content
All content on our website including text, graphics, logos, and materials is owned by Resolvyn or licensed to us and is protected by intellectual property laws. You may view and download content for personal reference only. Commercial use, reproduction, or distribution requires prior written permission.
6.2 Work Product
Legal work product created in the course of representation, including pleadings, memoranda, and case analyses, remains our intellectual property. Clients receive a license to use such materials for purposes of the specific matter for which they were created.
6.3 Client Materials
Clients retain ownership of documents and information provided to us. We maintain copies as necessary for file retention requirements but do not claim ownership rights to client materials.
7. Disclaimers and Limitations
7.1 No Outcome Guarantees
We provide professional representation based on our experience and judgment, but cannot guarantee specific outcomes in arbitration or mediation proceedings. Dispute resolution involves inherent uncertainties based on evidence, applicable law, and decision-maker discretion.
7.2 Professional Advice Limitation
Information on our website is general in nature and does not constitute legal advice for specific situations. Advice tailored to your circumstances requires formal engagement and complete fact analysis.
7.3 Limitation of Liability
Our liability for professional services is limited to the extent permitted by Thai law and professional conduct rules. In no event shall our liability exceed the fees paid for the specific matter giving rise to the claim. We are not liable for consequential damages, lost profits, or indirect losses.
7.4 Force Majeure
We are not liable for delays or failure to perform services due to circumstances beyond our reasonable control, including natural disasters, government actions, or institutional disruptions.
8. Confidentiality
We maintain strict confidentiality of client information as required by Thai Bar Association rules and professional ethics. Confidential information is disclosed only:
- With client consent
- As required by law or court order
- To prevent serious harm or illegal activity
- As necessary for representation in proceedings

9. Termination
9.1 Client Termination
Clients may terminate our services at any time by providing written notice. Upon termination, clients remain responsible for fees for services performed and expenses incurred through the termination date.
9.2 Our Termination Rights
We may terminate representation if:
- Client fails to pay fees or expenses as agreed
- Client provides false information or withholds material facts
- Continued representation would violate professional obligations
- Conflict of interest develops during representation
9.3 Post-Termination Obligations
Upon termination, we will provide client files and cooperate with successor counsel as appropriate. Confidentiality obligations continue indefinitely following termination.
10. Dispute Resolution and Governing Law
10.1 Governing Law
These Terms and Conditions are governed by the laws of Thailand. Any disputes arising from these terms or our services are subject to the exclusive jurisdiction of Thai courts.
10.2 Informal Resolution
Before pursuing formal dispute resolution, parties agree to attempt good faith negotiation to resolve any disagreements arising from these terms or our services.
10.3 Arbitration Option
If informal resolution is unsuccessful, either party may propose arbitration under Thai Arbitration Institute rules. Arbitration location will be Bangkok, Thailand, with proceedings conducted in English or Thai as mutually agreed.
11. General Provisions
11.1 Entire Agreement
These Terms and Conditions, together with any Engagement Agreement, constitute the entire agreement between parties regarding use of our website and services, superseding all prior discussions or understandings.
11.2 Severability
If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full force and effect. Invalid provisions will be replaced with valid provisions achieving similar purposes.
11.3 Waiver
Failure to enforce any provision of these terms does not constitute waiver of that provision or any other provision. Waivers must be in writing to be effective.
11.4 Assignment
You may not assign your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations as necessary for business succession or reorganization.
11.5 Notice
Notices under these terms should be sent to the addresses specified in Section 12 below. Email notices are acceptable for routine communications, but formal legal notices require written delivery.
12. Changes to Terms
We may update these Terms and Conditions to reflect changes in our practices or legal requirements. Material changes will be communicated through our website. Continued use of our website or services following such updates constitutes acceptance of the revised terms.
Changes to terms governing active client matters require mutual agreement and will be documented in amended Engagement Agreements.
